🟦 SECTION A: General Terms (Applies to All Users)

1. Acceptance of Terms

By accessing or using any part of the Fast Media Platform (the “Platform”), including its websites, tools, and services, you agree to be bound by these Terms of Service. If you do not agree, you must discontinue use immediately.


2. Eligibility & Account Registration

  • You must be at least 16 years old (or the minimum age of digital consent in your country) to register.

  • You agree to provide accurate, complete information and keep it updated.

  • You are solely responsible for maintaining the confidentiality and security of your login credentials.


3. User Responsibilities

  • You are responsible for your activity on the Platform.

  • You agree not to use the Platform for any illegal, abusive, or harmful purposes.

  • You agree not to share content or data that infringes on third-party rights, including copyright, privacy, or trademarks.


4. Privacy and Data

  • Your use of the Platform is also subject to our Privacy Policy, which outlines how we collect, store, and process personal data in compliance with GDPR and other applicable laws.

  • We do not access or index private client-uploaded content unless legally required or with explicit consent.


5. Platform Changes & Availability

  • We may modify or discontinue any aspect of the Platform at any time, with or without notice.

  • We are not responsible for any data loss, service interruption, or failure to access your content due to system downtime or maintenance.


6. Third-Party Services

  • Some services (e.g., payments, licensing engines, community tools) are powered by third-party providers (e.g., Solwee, Stripe, BuddyBoss).

  • Use of such services is also governed by their terms of use and policies. Fast Media disclaims any liability arising from such third-party systems.


7. Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of the Netherlands. Any disputes shall be resolved exclusively in the courts of Amsterdam, unless otherwise required by applicable consumer law.

This section applies to all users who engage with the community features of the Platform, including forums, private messaging, profiles, groups, and user-generated content (UGC). These tools are powered by BuddyBoss and subject to both Fast Media’s and BuddyBoss’s usage policies.


1. Community Conduct

You agree to:

  • Treat all users respectfully and professionally.

  • Refrain from posting abusive, harassing, hateful, sexually explicit, or otherwise offensive content.

  • Respect differing viewpoints and cultural norms.

  • Not impersonate others or misrepresent your affiliation.

Fast Media reserves the right to moderate, edit, or remove content at its discretion to maintain a constructive and safe environment.


2. Group Access & Roles

Some areas of the community may be:

  • Private or invite-only, such as beta groups, content partner forums, or team-specific workspaces.

  • Tied to subscription level or membership tier.

Admins may assign roles (e.g., moderators, editors) or grant/restrict access based on account status or usage history.


3. Posting Guidelines

You may post:

  • Text, links, images, and other media permitted under applicable law and copyright

  • Only content you have the right to share

  • No spam, unauthorized promotions, or scraping of contact data

Fast Media may limit the size, type, or frequency of uploads to ensure platform performance and compliance.


4. Moderation & Enforcement

  • Community content is monitored through a combination of automation and human review.

  • Moderators may warn, suspend, or ban users at their discretion if they breach these Terms.

  • Users may report posts or behaviors they believe violate the rules.

Repeated or serious violations may result in permanent removal from the Platform.


5. Private Messaging & Groups

  • Messaging features must not be used for unsolicited promotions, harassment, or commercial spam.

  • Admins may inspect group or message content if flagged for violation, but otherwise private communications remain confidential.


6. Platform Limitations

The community features are provided “as is” and may occasionally be disabled for updates or security reasons. We do not guarantee uptime, visibility, or retention of posts.

🟨 SECTION C: Uploading & Licensing (Contributors, Content Partners, Clients)

This section applies to users who submit, upload, or manage content on the Platform, including contributors, content partners (via Solwee or direct contract), and digital asset management (DAM) clients.


1. Ownership of Uploaded Content

  • You retain full ownership of any content you upload to your account.

  • By default, Fast Media does not claim any rights to client-uploaded assets stored in DAM libraries or HUBs.

  • Fast Media does not review, index, license, or republish client-uploaded content without your explicit consent.


2. Content Partners & Licensing Rights

  • Fast Media acts as an official reseller and representative of selected content partners via agreements with Solwee and other parties.

  • These partnerships allow Fast Media to license, promote, distribute, and sell selected media files on behalf of verified creators.

  • Such content is published to the Fast Media marketplace and licensing interface with full permission from the rightsholder.

4. “Submit to Marketplace” (Future Feature)

  • In the future, clients may be invited to submit selected uploads for licensing to third parties via the Fast Media marketplace.

  • This process will require:

    • A clear opt-in

    • Acceptance of a separate Contributor License Agreement

    • Review and moderation by the Fast Media content team

Until then, all uploaded content remains private and non-licensable by default.


5. Upload Restrictions

You may not upload:

  • Content you do not have full legal rights to (e.g., third-party images, AI-generated media with unclear licensing)

  • Pornographic, defamatory, or illegal material

  • Files that violate the rights of third parties, including models, photographers, brands, or rights-holders

You are solely responsible for the legal status, accuracy, and permissions associated with any content you upload.


6. Metadata & Tagging

If your content is intended for use beyond your private library (e.g., for marketplace submission or team collaboration), you are responsible for:

  • Applying accurate metadata, titles, and keywords

  • Ensuring that copyright, credit lines, and release information are correct

Fast Media may standardize or correct metadata where applicable to maintain content integrity.


7. Indemnification

You agree to indemnify and hold harmless Fast Media BV from any claims, damages, or liabilities arising from:

  • The content you upload

  • Any licensing or usage of that content

  • Any third-party legal action related to copyright, privacy, or other intellectual property violations

🟥 SECTION D: Purchasing & Licensing (Buyers, Licensees)

This section applies to all users who purchase or download licensed content via the Fast Media Platform, including editorial, commercial, AI-generated, and partner-provided media.


1. License Scope & Types

When you license content from Fast Media:

  • You are granted a non-exclusive, non-transferable, revocable right to use the content for the purpose selected during purchase

  • License types include:

    • Editorial Use Only

    • Commercial Use (Royalty-Free or Rights-Managed)

    • AI-Generated Use (with appropriate disclosures)

  • Your license is only valid once payment is received and confirmed

You do not own the content or receive copyright — you receive a right to use it under specific terms.


2. Usage Restrictions

You may not:

  • Resell, redistribute, or upload content to stock platforms or NFTs

  • Use content in training machine learning models (unless explicitly permitted)

  • Use editorial-only images for commercial purposes (e.g. advertising)

  • Alter or manipulate images in ways that misrepresent real events (esp. for news use)

  • Share licensed content with third parties unless covered under your license (e.g. subcontractors)


3. Comp Images & Previews

  • You may use watermarked preview images (“comps”) for mockups or internal layouts

  • Comps may not be published or distributed publicly

  • Downloading comps does not grant license or usage rights


4. Payments & Refunds

  • All transactions are processed securely via third-party payment providers (e.g., Stripe, WooCommerce)

  • Fast Media is not responsible for issues related to third-party billing

  • Refunds may be granted at our discretion if:

    • A file is corrupt or unusable

    • The license was mistakenly purchased and unused

To request a refund, contact us within 14 days of purchase.


5. Attribution

  • For editorial content, attribution is often required by partners (e.g., photo credits)

  • For commercial use, attribution is generally optional unless stated

  • When required, credits must appear as:
    "© Photographer Name / Agency Name / Fast Media"


6. Revocation & License Termination

Fast Media may revoke a license if:

  • The purchase was fraudulent or disputed

  • A legal claim is made against the original rightsholder

  • You breach the license terms

In such cases, you must immediately cease all use of the content and delete all copies.


7. Licensing Authority

All content available for purchase has been:

  • Provided by verified Fast Media content partners with appropriate rights

  • Or will be contributed under our future Contributor License Agreement

We do not license any content uploaded privately by DAM or HUB users unless expressly submitted to the marketplace.

🟪 SECTION E: Digital Asset Management (DAM) & Team Access

This section applies to users of Fast Media’s HUB, team folders, or DAM features, including organizations that upload, manage, and collaborate on internal media libraries.

1. Client Ownership of Assets

  • All content uploaded to DAM or HUB accounts remains the sole property of the client.
  • Fast Media does not access, review, license, or distribute these files without the client’s explicit request or legal obligation.
  • Clients are responsible for managing their own users, permissions, and metadata.

2. Access & Roles

  • Clients may assign team members or collaborators to shared folders or workspaces.
  • Fast Media is not responsible for user actions within a client-managed environment.
  • If a team member leaves your organization, it is your responsibility to revoke access.

3. Storage & Limits

Technical Specifications

  • Permitted File Types: Images only (JPEG, JPG, PNG, GIF, WebP)
  • Maximum File Size: 100MB per file
  • Storage Allocation: As per your subscription tier (e.g., HUB5, HUB10, HUB25)
  • Additional Storage: May be purchased subject to availability

Usage Restrictions

  • No hotlinking or public redistribution of stored files
  • Storage must be used for business-related content only
  • Fast Media reserves the right to restrict or suspend access if usage exceeds fair limits

4. File Management & Security

Client Responsibilities

  • Clients are responsible for the accuracy, legality, and versioning of all uploaded assets
  • You must maintain your own backup copies of all critical files
  • You are responsible for ensuring all uploads comply with copyright and intellectual property laws
  • Files must be scanned for viruses/malware before upload

Platform Security

  • Fast Media implements industry-standard security practices including virus scanning
  • Daily automated backups are maintained for disaster recovery purposes
  • Backups are retained for 30 days on a rolling basis
  • We cannot guarantee absolute file integrity or recovery from user-initiated deletions
  • All file access, downloads, and modifications are logged for security audit purposes

5. Prohibited Content

You may not upload, store, or share content that:

Illegal or Harmful Material

  • Pornographic, sexually explicit, or nude content involving minors
  • Content depicting extreme violence, gore, or cruelty
  • Material that promotes terrorism, hatred, or discrimination
  • Content that violates any applicable laws or regulations

Deceptive or Malicious Content

  • False, misleading, or inaccurate information
  • Fraudulent or deceptive materials
  • Content intended to harass, defame, or threaten others
  • Spam, unsolicited advertising, or bulk promotional material
  • Software viruses, malware, or any malicious code

Intellectual Property Violations

  • Copyrighted material without proper authorization
  • Trademarks, logos, or branded content you don’t own
  • Content that infringes on third-party rights
  • Material that violates contractual obligations or confidentiality agreements

Other Prohibited Content

  • Personal data of others without consent
  • Content used for doxxing or stalking
  • Deepfakes or manipulated media intended to deceive
  • Any content deemed inappropriate at Fast Media’s sole discretion

Fast Media reserves the right to remove prohibited content without notice and may suspend or terminate accounts that violate these restrictions.

6. Account Termination & Data Removal

Data Retention

  • Upon account closure, files are retained for 30 days
  • Clients may request immediate deletion of all stored assets
  • After 30 days, all files and associated metadata are permanently deleted

Export Rights

  • Clients may export their data at any time during active subscription
  • We provide reasonable assistance for data migration upon request
  • Export must be completed before account termination

7. Integration, API & Automation (If Used)

  • If you connect third-party tools (e.g. via API), you are responsible for managing that data flow
  • Fast Media disclaims liability for any data loss or misuse arising from external integrations

8. Marketplace Submission (Future Feature)

  • If you wish to submit selected assets from your DAM/HUB to the public licensing marketplace, you must explicitly opt in and accept a separate Contributor Agreement
  • By default, all DAM assets are private and non-licensable

9. Metadata & Rights Management

  • The system automatically extracts available metadata from uploaded files (EXIF, IPTC, XMP)
  • Additional copyright and licensing information can be manually added
  • Metadata accuracy is the client’s responsibility
  • Rights management metadata helps prevent unauthorized usage

10. Service Level & Support

Backup Policy

  • Automated daily backups at 2:00 AM CET
  • 30-day rolling retention period
  • Restoration requests must be submitted within the retention period
  • Recovery time objective (RTO): 2 hours for critical requests
  • Recovery point objective (RPO): 24 hours

Disclaimer

  • Fast Media provides storage services “as-is” without warranty
  • We are not liable for data loss, corruption, or unauthorized access
  • Clients acknowledge that no data storage system is 100% secure or failure-proof
  • Maximum liability is limited to the fees paid in the preceding 3 months

This section outlines the legal protections and limitations of liability that apply to your use of the Fast Media Platform, including all content, tools, services, and third-party integrations.


1. Platform Provided “As Is”

Fast Media provides the Platform and all related services on an “as is” and “as available” basis. We make no guarantees regarding:

  • Platform uptime or availability

  • Compatibility with your systems or software

  • Error-free performance or uninterrupted access

We may suspend or restrict access temporarily for maintenance, updates, or legal compliance.


2. No Warranty

To the fullest extent permitted by law:

  • We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement

  • We do not guarantee the accuracy, legality, or usability of user-generated content, third-party media, or metadata


3. Limitation of Liability

Fast Media BV, its directors, employees, or partners will not be liable for:

  • Loss of data, revenue, profits, goodwill, or other intangible losses

  • Unauthorized access, use, or alteration of your account or files

  • Damages arising from content licensing disputes, incorrect usage, or third-party takedowns

Total liability in any claim shall be limited to the amount paid for the service or license in the 12 months prior to the event.


4. Third-Party Services

Fast Media uses tools and services provided by:

  • Solwee (content delivery and partner licensing)

  • Stripe or WooCommerce (payments)

  • BuddyBoss (community features)

  • Others as applicable

These services operate under their own terms and are not controlled by Fast Media. We are not responsible for errors, outages, or data processing performed by these services.


5. Service Modifications

We reserve the right to:

  • Add, change, or remove features at any time

  • Terminate or suspend services, accounts, or access at our discretion

Whenever possible, we will provide reasonable notice via email or the platform.


6. Indemnification

You agree to indemnify and hold harmless Fast Media BV and its affiliates against any claims, liabilities, damages, or costs arising from:

  • Your content uploads or use of licensed assets

  • Any breach of these Terms

  • Any third-party claim related to your actions on the Platform

⚫ SECTION G: Copyright, DMCA, and Legal Process

This section outlines how Fast Media handles copyright protection, intellectual property complaints, and compliance with legal frameworks including the EU Copyright Directive and international standards.


1. Copyright Ownership & Attribution

  • All media licensed via the Platform is owned by its original rightsholder (e.g. content partner, agency, or contributor).

  • You receive usage rights, not ownership, when licensing content.

  • Where required, you must provide attribution in the format:

2. AI-Generated Content & Dataset Use

  • Some content on the Platform may be AI-generated or enhanced via approved sources (e.g. OpenAI, Stability AI).

  • Licensing of such content is permitted for editorial or commercial use depending on the license selected.

  • You may not use licensed media (whether human- or AI-generated) to train machine learning models unless explicitly authorized.

  • We do not allow licensees to extract datasets or download content in bulk without a specific data agreement.


3. Copyright Complaints & Take-Down Procedure

If you believe content on our Platform violates your copyright or intellectual property rights, you may submit a takedown request to:

  • Fast Media cooperates with law enforcement and courts in compliance with Dutch and EU law.

  • We may disclose user information if legally required or if necessary to investigate fraud, abuse, or rights violations.

1. Memberships and Subscriptions

  • You may cancel your membership or subscription at any time through your account dashboard.

  • Cancellation will stop any future billing cycles.

  • Payments already made are non-refundable, unless otherwise required by law.

  • We reserve the right to revoke access for misuse, breach of terms, or inactivity during beta or trial periods.


2. Digital Content and Image Licenses

  • Due to the nature of digital goods, image licenses and downloads are non-refundable once accessed.

  • In accordance with EU Directive 2011/83/EU, you lose your right of withdrawal once:

    • You request immediate access to the digital file, and

    • You actively confirm this during checkout by accepting a waiver.

3. Exceptions and Refund Requests

We may review refund requests in limited cases, including:

4. Refund Processing

  • Approved refunds are processed to the original payment method within 14 business days.

Responsibility for Uploaded Content
Clients are solely responsible for ensuring they have the rights to upload and store any copyrighted material. Fast Media is not liable for copyright violations arising from user uploads.

To maintain a secure and respectful platform for all users, the following behaviors are strictly prohibited:

  • Sharing unlawful, threatening, or defamatory content

  • Uploading content that infringes on copyright, trademarks, or intellectual property

  • Harassing or abusing other users in the community

  • Attempting to bypass platform restrictions or reverse engineer services

  • Misusing storage (e.g. hosting pirated or non-work-related material)

  • Impersonating other users, staff, or brands

  • Introducing malware, spam, or malicious code

Violations may result in warnings, content removal, or permanent account suspension.

🟨 SECTION L: Payment Terms and Billing

Billing & Invoicing
Clients will be billed according to the pricing tiers selected at checkout or agreed upon via separate commercial agreement. Invoices are issued via Xero and must be paid via the available methods (Stripe, bank transfer, etc.).

Payment Deadlines
Unless stated otherwise, invoices are due within 14 days. Subscriptions may be billed monthly or annually.

Late or Failed Payments
If payment is not received by the due date:

  • Access to storage, community tools, or licensing functions may be temporarily suspended

  • Late fees or administrative charges may apply
